The ideal candidate is a self-driven leader capable of taking full ownership of legal and risk management matters at the Company. You will be the main legal contact and negotiator for commercial agreements with customer, vendors, reseller partners, and technology partners, and a key contributor to the design and implementation of risk management strategies alongside Uphold’s Security and Compliance teams. As a result, the Associate Corporate Counsel will be an important contributor to operating and strategic decision making to support growth. This position is full-time and exempt.  The Associate Corporate Counsel will report to the General Counsel.  

Primary Responsibilities:

  • Negotiate, draft, and execute commercial agreements with customers, resellers, technology partners, landlords, and vendors
  • Serve as partner to Sales with prospective customers
  • Offer counsel on wide-ranging legal issues, and advise executives within the company
  • Work alongside other departments across the company, including HR, Sales, Security, Compliance, Product, and Engineering
  • Advise on contract status, legal risks, and the legal liabilities associated with commercial transactions
  • Researching and anticipating legal issues that could impact the company, including helping guide the company’s data security & data privacy preparedness
  • Operationalize legal workflow and contract management across the company

Education & Experience Requirements:

  • Law degree from a recognized university
  • Admitted to a recognized bar
  • 5+ years of experience in large law firm and/or in-house with major corporation
  • Experience in IP and technology transactions a plus
  • Strong interpersonal and presentation skills, ability to communicate effectively with others at all levels of the organization
  • Strong negotiating skills with both legal and financial/commercial issues
  • Ability to work independently with little or no supervision, but be a team player with a great attitude
